WAAIY USER AGREEMENT

This User Agreement ("Agreement") sets forth the terms and conditions governing the use of the Waaiy platform ("Platform", "Waaiy") by natural or legal persons ("User") and the operator of Waaiy ("Waaiy", "Company").

By registering for, logging into, or otherwise using the Waaiy Platform, the User acknowledges that they have read, understood, and accepted this Agreement.

1. Definitions

For the purposes of this Agreement:

Waaiy / Platform: Refers to the web-based content management, website management, API, data management, and related digital services provided by Waaiy.

User: Refers to any natural or legal person who registers for or uses the Waaiy Platform.

Account: Refers to the user account created to enable the User to access the Platform.

Website: Refers to the internet website managed by the User through Waaiy.

Content: Refers to all text, images, videos, files, products, blogs, pages, data, and similar content uploaded by the User to the Platform or created through the Platform.

Service: Refers to all free or paid digital services provided by Waaiy to the User.

2. Purpose and Scope of the Agreement

The purpose of this Agreement is to determine the terms and conditions governing the User's use of the Waaiy Platform.

Waaiy may provide features including content management, website management, API access, media management, product and blog management, page management, user management, data management, and similar functionalities.

Waaiy reserves the right to develop, modify, update, or remove certain features of the Platform and its technical infrastructure.

3. User Account

3.1. The User may be required to create an account in order to access certain features of the Platform.

3.2. The User agrees that all information provided during registration is accurate, current, and complete.

3.3. The User is responsible for maintaining the security of their account information and for all activities carried out through their account.

3.4. The User shall not share their account credentials with third parties.

3.5. If the User becomes aware of any unauthorized use of their account or believes that their account credentials have been compromised, the User shall notify Waaiy as soon as reasonably possible.

3.6. Unless proven otherwise, transactions carried out through an account created by the User may be deemed to have been performed by the User.

4. Terms of Use

The User agrees to use the Waaiy Platform:

• in compliance with applicable laws and regulations;

• for purposes that are not unlawful or contrary to public morality;

• without infringing upon the rights of third parties;

• without compromising the security of the Platform;

• without causing damage to Waaiy's technical infrastructure.

The User shall not:

• gain unauthorized access to the Platform;

• attempt to access the accounts of other users;

• bypass or circumvent the Platform's security mechanisms;

• upload malicious software or code;

• use the Platform for spam, attacks, or abusive purposes;

• send excessive or malicious traffic to Waaiy's infrastructure;

• inspect, modify, reproduce, or distribute the Platform's source code, security mechanisms, or technical architecture without authorization;

• unlawfully process the personal data of other individuals.

5. User Content

5.1. The User is solely responsible for ensuring that all content uploaded to the Platform complies with applicable laws and regulations.

5.2. The User represents and warrants that they possess all necessary rights and permissions to use, reproduce, publish, and distribute the content they upload.

5.3. The User shall not upload content that infringes copyright, trademark rights, personality rights, personal data protection rights, or any other rights of third parties.

5.4. Waaiy may take the necessary technical and legal measures regarding content that is reported as unlawful or that poses a threat to the security of the Platform.

6. Intellectual Property Rights

Waaiy's software, source code, designs, interfaces, trademarks, logos, graphic elements, documentation, database structures, and other intellectual and industrial property elements relating to the Platform belong to Waaiy or the respective rights holders.

The User is granted a limited, non-exclusive, non-transferable, and revocable right to use the Platform.

This right of use does not constitute a transfer of any intellectual or industrial property rights of Waaiy to the User.

7. Third-Party Services

Waaiy may use third-party software, APIs, payment systems, hosting providers, CDNs, email services, cloud infrastructure, or similar third-party services in providing its Services.

Such third-party services may have their own terms of use and privacy policies.

In the event that such services are interrupted or technical problems arise due to third parties, Waaiy will make reasonable efforts to provide a solution; however, Waaiy shall not be directly liable for service interruptions or failures arising from circumstances beyond its reasonable control.

8. Service Interruptions and Technical Maintenance

The User acknowledges that access to the Platform may be temporarily interrupted due to:

• maintenance;

• updates;

• security operations;

• infrastructure changes;

• technical failures;

• cybersecurity incidents;

• internet or data center-related issues.

Where reasonably possible, planned maintenance activities are intended to be announced in advance.

9. Suspension and Termination of the Account

Waaiy may temporarily suspend or terminate the User's account in cases including, but not limited to:

• violation of this Agreement;

• unlawful use;

• security threats;

• abuse or misuse of the Platform;

• provision of false or misleading information;

• failure to fulfill payment obligations;

• causing damage to the Platform or other users.

The User may also request the closure of their account through the applicable support channel.

Termination or closure of an account does not release the User from any payment obligations or other contractual obligations that have already arisen.

10. Limitation of Liability

Waaiy takes reasonable technical measures to ensure that the Platform operates as securely and continuously as reasonably possible.

However, problems arising from internet infrastructure, third-party services, user devices, DNS, hosting, domain names, internet service providers, or the User's own software and configurations are beyond Waaiy's reasonable control.

To the extent permitted by applicable law and subject to mandatory provisions of law, Waaiy's liability shall be limited to direct and foreseeable damages.

11. Backup and Data Responsibility

Waaiy may use reasonable backup and security mechanisms to ensure the continuity of its technical infrastructure.

However, the User is responsible for maintaining independent backups of their own content.

If Waaiy provides additional backup services, such services shall be subject to the applicable Service Agreement or package terms.

12. Protection of Personal Data

The User's personal data shall be processed in accordance with Waaiy's applicable privacy policy and data protection notices.

Further details regarding the processing of personal data are set forth in the Waaiy KVKK Data Protection Notice and other applicable policies and notices.

13. Amendments to the Agreement

Waaiy may update this Agreement in accordance with the development of the Platform and changes in applicable legislation.

The updated Agreement shall be published on the Platform with a new revision date.

Where deemed necessary, Users may also be separately notified of material changes.

14. Notices

Notices from Waaiy to the User may be delivered through:

• the email address registered to the User's account;

• in-platform notifications;

• announcements published on the Platform.

The User is responsible for keeping their account information up to date.

15. Governing Law and Jurisdiction

This Agreement shall be governed by the laws of the Republic of Türkiye.

Without prejudice to mandatory jurisdiction provisions applicable to consumer transactions, the [●] Courts and Enforcement Offices shall have jurisdiction over disputes arising from or in connection with this Agreement.

16. Effective Date

This Agreement shall enter into force when the User registers for or begins using the Waaiy Platform.

By continuing to use the Platform, the User shall be deemed to have accepted the terms and conditions of this Agreement.
