Service Agreement
WAAIY SERVICE AGREEMENT

This Service Agreement ("Agreement") is entered into between Waaiy ("Waaiy") and the natural or legal person ("Customer") who benefits from the services provided by Waaiy.
This Agreement shall apply when the Customer purchases a package through Waaiy, starts a subscription, or begins using a paid service.
1. Purpose and Scope of the Agreement
The purpose of this Agreement is to determine the terms and conditions governing the use of the following services provided by Waaiy to the Customer:
website management;
multi-website management;
API services;
media and file management;
blog and page management;
product management;
data management;
technical support;
maintenance and updates;
other services included within the applicable package.
The scope of the services provided may vary depending on the package purchased by the Customer.
2. Scope of the Service
The Customer may benefit from the features specified within the package purchased.
Waaiy reserves the right to update package contents, technical specifications, and usage limits.
The Customer's acquired rights with respect to the current subscription period shall remain reserved in the event of material changes that may adversely affect the existing subscription.
3. Subscription
3.1. Waaiy services may be offered through monthly, annual, or other periodic subscription models specified on the Platform.
3.2. The subscription period begins once the payment transaction has been successfully completed.
3.3. If automatic renewal is available, the Customer may manage subscription renewal through the applicable payment and account settings.
3.4. Subscription renewal terms shall be subject to the package and payment terms presented to the Customer at the time of purchase.
4. Fees
Service fees shall be charged according to the prices displayed on the Platform at the time of purchase.
Whether taxes are included in the stated prices shall be separately indicated on the payment page.
Waaiy may change its prices for future subscription periods.
Any price changes applicable to the Customer's existing subscription may be notified to the Customer before the relevant renewal period.
5. Payment
5.1. The Customer is obligated to pay the applicable fee for the purchased service using one of the available payment methods.
5.2. If a payment fails, Waaiy may notify the Customer and may restrict or suspend the services until the payment is completed.
5.3. Third-party payment service providers may be used for payment transactions.
5.4. The terms and conditions of the relevant payment service provider may also apply to the secure processing of card and payment information.
6. Invoicing
For sales and subscription transactions carried out by Waaiy, an invoice or other applicable financial document may be issued in accordance with applicable laws and regulations.
The Customer is responsible for ensuring that billing information is accurate and up to date.
7. Hosting and Website Services
If Waaiy provides hosting or website hosting services to the Customer, technical limits such as the following may be determined according to the purchased package:
server resources;
storage capacity;
traffic;
number of websites;
PHP or other software versions;
database usage;
file size;
API usage.
The Customer shall not misuse the resources allocated to them or perform activities that may adversely affect Waaiy's infrastructure or other users.
8. Domain Name
If domain name registration services are provided by Waaiy, domain name-related transactions shall be subject to the rules of the relevant domain name registrars and registries.
The terms and conditions of the relevant registration authorities shall apply to domain name registration, renewal, transfer, and cancellation procedures.
Ownership and rights of use relating to a domain name shall be determined in accordance with the applicable domain registration terms.
9. API Usage
If API access is provided by Waaiy, API usage limits and technical requirements shall be specified in the purchased package or API documentation.
The Customer is obligated to:
keep API keys confidential;
not share API keys with unauthorized persons;
not misuse the API;
not send automated attacks or excessive requests.
The Customer is responsible for the security of their API keys.
API access may be temporarily suspended if it is determined that such access creates a security risk.
10. Technical Support
Waaiy may provide technical support to the extent specified in the purchased package.
Technical support may include:
assistance with the use of the Waaiy Platform;
investigation of technical errors;
identification of system-related problems;
basic configuration support.
Support provided for software developed by the Customer, third-party applications, or systems outside Waaiy may be subject to additional fees.
11. Maintenance and Updates
Waaiy may regularly perform maintenance and update activities for the security and development of the Platform.
Updates may include:
new features;
security fixes;
performance improvements;
bug fixes;
infrastructure changes.
12. Customer Responsibilities
The Customer shall:
protect their account information;
fulfill payment obligations on time;
use the Platform in compliance with applicable laws;
possess the necessary legal rights to the content they use or upload;
refrain from infringing the rights of third parties;
refrain from misusing the system resources allocated to them.
13. Prohibited Uses
The Services may not be used for:
illegal activities;
distribution of malicious software;
phishing;
spam;
identity theft or fraudulent impersonation;
unauthorized access;
attacks or attack infrastructure;
copyright infringement;
fraud;
generating harmful, abusive, or malicious traffic.
If Waaiy detects such use, it may temporarily or permanently suspend the relevant service.
14. Data and Content
The Customer is responsible for all data and content uploaded to the Waaiy Platform by the Customer.
The Customer acknowledges that the content uploaded to the Platform complies with applicable laws and does not infringe the rights of third parties.
Waaiy may process Customer data to the extent necessary to provide the technical services.
Matters relating to the processing of personal data shall be governed separately by the applicable KVKK notices and, where necessary, by a data processing agreement to be executed between the parties.
15. Backups
Waaiy may implement technical backup mechanisms to support service continuity.
However, the Customer is responsible for maintaining independent backups of their critical data.
No backup guarantee shall be deemed to have been provided for any operation that is not expressly offered by Waaiy as a "backup service."
16. Suspension of Services
Waaiy may temporarily suspend the Services in the following circumstances:
failure to make payment;
violation of this Agreement;
security threats;
unlawful use;
compromising the Platform infrastructure;
causing harm to third parties;
detection of unauthorized access or attacks.
Where reasonably possible, the Customer will be notified in advance.
In cases involving security risks or legal obligations, the Services may be suspended without prior notice.
17. Cancellation and Termination
The Customer may cancel their subscription using the methods specified on the Platform.
Following cancellation, the duration of continued service access shall be determined according to the purchased package and applicable payment terms.
Waaiy may terminate this Agreement in the event of a material or serious breach of the Agreement.
Upon termination, any fees, debts, and other obligations that have already accrued shall remain due and payable.
18. Refunds
Refunds shall be processed according to the nature of the purchased service, the applicable package terms, and applicable laws and regulations.
In consumer transactions, the mandatory statutory rights granted to consumers shall remain reserved.
For corporate/B2B customers, separately agreed commercial terms between the parties may apply.
19. Service Level
For packages where Waaiy does not separately provide a Service Level Agreement ("SLA"), no specific uninterrupted service period or availability rate is guaranteed.
If a separate SLA is purchased or incorporated into the agreement, the provisions of the applicable SLA shall apply.
20. Intellectual Property
The software, source code, designs, interfaces, API architecture, documentation, brand elements, and technical infrastructure of the Waaiy Platform belong to Waaiy or the respective rights holders.
The Customer is granted only a limited right to use the Platform for the purpose of benefiting from the purchased Services.
Nothing in this Agreement shall be interpreted as a transfer of Waaiy's intellectual property rights to the Customer.
21. Data Following Termination of the Agreement
Upon termination of the Service, access to the Customer's data and the period for which such data is retained shall be determined according to the features of the purchased Service and Waaiy's data retention policies.
The Customer is responsible for exporting or backing up any necessary data before the Service ends.
For data that is required to be retained for a longer period by law, the applicable legal provisions shall apply.
22. Force Majeure
Natural disasters, war, acts of terrorism, cyberattacks, widespread internet outages, data center failures, decisions of public authorities, power outages, and similar events beyond the reasonable control of the parties may be considered force majeure events.
During a force majeure event, the parties' obligations may be affected to the extent and for the duration permitted by the nature of the event and applicable law.
23. Amendments to the Agreement
Waaiy may update this Agreement due to the development of its Services or changes in applicable laws and regulations.
Updates shall be published on the Platform.
In the event of material changes, the Customer shall be notified in a reasonable manner.
24. Governing Law and Jurisdiction
This Agreement shall be governed by the laws of the Republic of Türkiye.
Mandatory jurisdiction rules applicable to consumer transactions shall remain reserved.
For commercial disputes, the [●] Courts and Enforcement Offices shall have jurisdiction.
25. Effective Date
This Agreement shall enter into force when the Customer purchases a paid service through Waaiy or begins using the Service.
By completing the purchase transaction, the Customer declares that they have read and accepted the terms and conditions of this Agreement.
